Terms of Service

These terms are the agreement between you and PayoutEngine for using our site and product. We've kept them as plain as terms can reasonably be. By using PayoutEngine, you agree to them, so please read them.

Agreement to these terms

“PayoutEngine,” “we,” and “us” mean the company that operates payoutengine.io and the PayoutEngine app. “You” means the person or business using the service. By creating an account, joining the waitlist, or otherwise using PayoutEngine, you agree to these terms and to our Privacy Policy. If you're agreeing on behalf of a company, you're confirming you have the authority to bind that company.

We're an early-stage company, and PayoutEngine is still evolving. These terms govern your use of the product, and we'll post the date of any change at the top.

What PayoutEngine does

PayoutEngine calculates sales commissions from your CRM deal data against the commission plans you configure, and shows your reps how each payout was reached. It's built for businesses and their teams, not for personal use.

PayoutEngine is a calculation and record-keeping tool. It isn't accounting, legal, tax, or financial advice, and it doesn't pay anyone. You decide your commission plans, you review each payout run, and you're responsible for the numbers you approve and pay. We work hard to make every calculation correct and auditable, and you're still the one who signs off.

Your account

You need an account to use the product, and you must give accurate information and keep it current. You're responsible for what happens under your account and for keeping your login credentials safe. Tell us right away if you think someone has gained unauthorized access. You must be at least 18 to use PayoutEngine.

Your data

The CRM records, commission plans, and everything else you bring into PayoutEngine are yours. We call it Customer Data, and you keep all rights to it.

You give us the permission we need to host and process Customer Data so we can provide the service, which includes calculating payouts and showing them to your reps. You're responsible for having the right to share the data you connect, including your reps' personal information, and for using PayoutEngine in line with the privacy laws that apply to you. How we handle personal data is covered in our Privacy Policy, and business customers can request a data processing agreement.

Acceptable use

When you use PayoutEngine, you agree not to:

  • Break the law or infringe anyone's rights.
  • Upload malware, or try to breach, probe, or overload our systems.
  • Reverse engineer, copy, or resell the product, except where the law says you can.
  • Access another customer's data, or use the service to build a competing product.
  • Scrape the site or use it in a way that disrupts it for other customers.

Plans, trials, and billing

PayoutEngine is a paid subscription. Pricing is a flat rate banded by your number of quota-carrying reps, published on our pricing page, with no per-seat multiplication and no hidden platform or connector fees.

Self-serve plans start with a 14-day free trial. There's no free tier, and a card is required at the end of the trial, not the start. After that, your subscription renews automatically for the billing period you chose until you cancel. Fees are billed in advance and are non-refundable except where the law requires otherwise. You're responsible for any taxes, and prices are exclusive of tax unless we say otherwise.

We may change our prices, and when we do we'll give you advance notice before the change affects a renewal. You can cancel anytime, and cancellation stops future renewals. Because your payouts export as CSV and your calculations stay in the audit log, your historical record leaves with you.

Third-party services

PayoutEngine connects to services we don't control, like HubSpot. When you connect one, you're also agreeing to that provider's terms, and we're not responsible for their service, their availability, or what they do with data you direct to them. If a connection changes or breaks on their end, we'll do our best to adapt, but we can't guarantee a third party's behavior.

Our intellectual property

PayoutEngine, including the software, design, brand, and everything on our site except your Customer Data, belongs to us and is protected by intellectual property law. We give you a limited, non-exclusive, non-transferable right to use the product while these terms are in effect. That right doesn't include copying, modifying, or reselling the product.

If you send us feedback or ideas, thank you. We can use them to improve PayoutEngine without owing you anything, and you don't give up anything you need.

Suspension and termination

You can stop using PayoutEngine and close your account at any time. We can suspend or end your access if you break these terms, if your use puts our systems or other customers at risk, or if the law requires it. Where it's reasonable, we'll give you notice and a chance to fix the problem first.

When your account ends, your right to use the product stops. You'll have a reasonable window to export your data, after which we delete or anonymize it as described in our Privacy Policy. The parts of these terms that should outlast the agreement, like ownership, disclaimers, and the limits on liability, keep applying.

Disclaimers

We put real effort into accuracy and reliability, and we still have to say this plainly: PayoutEngine is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that it will meet every requirement you have.

You're responsible for reviewing and approving payouts before you act on them. PayoutEngine supports your judgment, it doesn't replace it.

Limitation of liability

To the fullest extent the law allows, PayoutEngine and its people won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the service.

Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the event that gave rise to the claim. Some places don't allow certain limitations, so parts of this may not apply to you.

Indemnification

You agree to cover us for claims, losses, and reasonable costs that come from your Customer Data, your use of the product, or your breach of these terms, to the extent the law allows. If a claim like that comes up, we'll let you know and let you manage the defense, as long as you keep us in the loop.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. If we have a dispute, let's try to sort it out directly first, so please email us before filing anything. If we can't resolve it that way, the state and federal courts located in Delaware will have jurisdiction, and you and we agree to that venue.

The rest of the fine print

These terms, together with our Privacy Policy and any order you place, are the whole agreement between us about the service. If part of them turns out to be unenforceable, the rest still stands. Our not enforcing a term right away doesn't waive it. You can't transfer these terms without our consent, and we may transfer them to a successor if our business is acquired or reorganized.

Changes to these terms

We'll update these terms as the product and our business evolve. When we make a material change, we'll revise the date at the top and, where it matters, tell you directly. If you keep using PayoutEngine after a change takes effect, you accept the updated terms. If you don't agree to a change, stop using the service and, if you have one, close your account.
